Board Oversight - The Human Resources and Compensation Committee assists the Board in overseeing Valero’s
compensation and talent management programs, as well as succession planning for our CEO and other senior
executives. At least annually, our senior management team, including the Senior Vice President and Chief Human
Resources Officer, who reports to the Board on these key focus areas.
