COMMERCIAL TERMS & CONDITIONS
1. General Conditions of Sale
1.1. These general conditions of sale govern
the contractual relations between INDUSTRIAS
ROYAL TERMIC, SL, hereinafter referred to
as ROINTE, and its customers for the sale of
ROINTE brand products. For the purposes of
these conditions, customers are understood to
be customers subject to professional activity,
such as stockists and installers, among others,
who shall in no case be considered consumers
and users, to whom the speci昀椀c regulations in
force shall apply.
1.2. The supplier INDUSTRIAS ROYAL TERMIC,
SL markets heating systems under the
brand name ROINTE. All orders placed with
ROINTE necessarily imply, as an essential
and determining condition, the unreserved
acceptance by the customer of these general
conditions of sale, over and above the
customer’s own general conditions of purchase.
1.3. The Customer expressly acknowledges that
it is aware of these general terms and conditions
of sale, having previously reviewed them and
accepted all the conditions set out in them.
2. Orders
2.1. It is expressly speci昀椀ed that an order is
valid and 昀椀nal only if it has been approved by
ROINTE by means of a con昀椀rmation e-mail. All
orders must contain the exact speci昀椀cation of
the designated products, as well as any discount
that may apply.
2.2. The contents of our catalogues and prices
are for guidance only and may be modi昀椀ed
without prior notice. Offers shall always be
subject to subsequent acceptance by ROINTE
of the corresponding order. Any annotations or
conditions indicated by the buyer in the order
which does not comply with these conditions
of sale shall be considered null and void, unless
ROINTE agrees, which must be expressly stated
in writing.
2.3. ROINTE reserves the right to modify certain
items in the catalogue or to stop production
without prior notice. In such cases, ROINTE may
offer the customer a model from the range as
close as possible to the one speci昀椀ed in the
order.
2.4. Cancellation of all or part of an order shall
not be accepted unless con昀椀rmed in writing by
ROINTE, and the customer shall bear all costs
arising from the cancellation.
2.5. An order may not be cancelled (i) in the case
of special units and manufacturing has begun,
and/or (ii) when a shipment has been made by
ROINTE.
3. Delivery
3.1. The products are delivered packed, with
supports, screws and fastening plugs, the
cost of which is included in the 昀椀nal sale
price. The goods shall be delivered by lorry
to ROINTE’s facilities, except for offers with
special conditions which shall be set out in a
written document, and ROINTE shall be totally
exonerated from any events which may occur
during the transport of the goods from the
loading of the lorry to the destination of arrival.

If transport is contracted by ROINTE, or if it is
subsidised for any reason whatsoever, this does
not imply acceptance by ROINTE of the risks
involved.
3.2. The delivery times mentioned in the order
con昀椀rmation are indicative. Delays in delivery
times shall in no event entitle ROINTE to the
payment of late payment penalties, damages or
cancellation of the order.
3.3. Upon receipt of the order, the customer
must check them in the presence of the carrier.
Even if the packaging appears to be intact, if
there is any damage, loss or replacement, this
must be noted on the carrier’s delivery note and
these reservations must be con昀椀rmed by the
customer, within 2 days of receipt, by registered
letter with acknowledgement of receipt to the
carrier. The customer shall have the right to take
any action against the carrier in the event of loss,
damage or delay.
3.4. Orders are subject to shipping costs which
shall be borne by the customer. (i) The shipping
cost for non-stockists amounts to £/€ 50 unless
the amount of the order exceeds £/€ 1,000,
whose cost will be included in the price of the
order. (ii) The shipping cost for stockists will
amount to £/€ 35 unless the amount of the order
exceeds £/€ 500, whose cost will be included in
the price of the order. (iii) The shipping cost will
amount to £/€ 7.50 per order for spare parts. (iv)
Should the customer wish to place an order for
certain day delivery, the customer must contact
ROINTE to discuss the prices and times. ROINTE
may modify the minimum amounts required for
the order to include shipping costs, which will
be noti昀椀ed to the customer when the order is
placed. The shipping costs correspond to the
rates set by the transport company at the time
the order is placed, which are available on the
transport company’s website, and which may be
subject to modi昀椀cation.
3.5. ROINTE shall not be obliged to deliver the
products if it has reasonable grounds to fear for
the success of the transaction, whether partial or
total, from the time of the order.
4. Prices and payment conditions
4.1. ROINTE reserves the right to modify its
prices at any time. The price list in force is
applicable at the time of delivery of the product.
These prices are exclusive of VAT and exclusive
of any contributions or costs relating to the
commissioning of the products.
4.2. Invoices shall be issued at the price in force
on the day of delivery of the product and shall
be payable in accordance with the method of
payment shown on the invoice. ROINTE shall
not grant any discount for payment in cash or in
a shorter period than that stated in the general
terms and conditions of sale or on the invoice
issued by ROINTE unless expressly agreed in
writing by both parties.
4.3. The customer authorises ROINTE to use
credit and surety and solvency bases in order
to ascertain the customer’s 昀椀nancial situation,
which, should ROINTE 昀椀nd to be inadequate,
may result in the cancellation of the order
placed by the customer, and may even result
in the return of the products if delivery has
already taken place. ROINTE may also insure
the payment of invoices by the Customer by
means of credit and surety insurance, as well
as any other type of insurance, and may charge
the Customer the appropriate commission.
Likewise, the Customer may insure the payment
of invoices for orders placed using any of the
methods available on the market.
4.4. ROINTE does not accept debit notes or the
return of any non-defective product if it has not
been previously authorised by ROINTE. Under
no circumstances may the customer withhold,
deduct, discount, compensate or reduce
any amount owed to ROINTE for any reason
whatsoever. ROINTE shall be entitled to claim
from the customer the payment of any expenses
incurred as a result of the provisions of this
stipulation.
5. Returns
5.1. All returns or refunds requested for nondefective products must be expressly authorised
by ROINTE, and must be made by e-mail to
support@rointe.co.uk or by calling the following
telephone number +44 (0)203 321 5929. All
materials must arrive in a resaleable condition
in their original packaging and free of postage
and therefore the customer shall be responsible
for them. Any returns requested and accepted
for study and resolution must be accompanied
by the following documentation: (i) copy of the
original purchase invoice (mandatory), (ii) list of
the material or product to be returned with its
references and quantities, (iii) cause or reason
for the return, (iv) copy of the e-mail sent by
ROINTE authorising the return, (v) photographs
of the product in the event that ROINTE’s aftersales service requires it. ROINTE cannot accept
returns without the stated documentation.
5.2. Returns of non-standard material ordered by
the customer shall not be accepted.
5.3. The 昀椀nal decision on the acceptance of the
return shall be taken by ROINTE after checking
the goods upon receipt. Exceptionally, returns
of material in good condition may be accepted
by ROINTE under the conditions set out below,
for which ROINTE’s prior consent by e-mail shall
be required. If the age of the material is (i) less
than 30 days, the depreciation shall be 15%, (ii)
between 30 days and 3 months, the depreciation
shall be 20%, (iii) if the age of the material is
between 3 and 12 months, the depreciation shall
be 25%, (iv) and if it is older than 12 months, the
depreciation shall be 30%. However, ROINTE
may also object to the return. In the event that
the return is made of a product other than the
one previously authorised, ROINTE shall not be
obliged to accept it, and the customer shall bear
the costs incurred as a result of its error.
5.4. Returns shall be made carriage paid by the
customer, except for those caused by defects in
quality or errors attributable to ROINTE, in which
case they shall be sent by the agency indicated
by the area sales representative. In no case shall
the return of goods be accepted in the case of
special units. Likewise, the customer is aware
of ROINTE’s returns policy, which it accepts and
which is applicable, and ROINTE undertakes to
inform the customer of any changes that may
be made to it.
