A private limited company (ApS)
may be incorporated with an
executive board only, but may also
choose a two-tier management
structure with a board of directors
who then appoints the executive
board. There are no limitations
regarding managers being member
of the board of directors or position
as chairman. If incorporated with
an executive board only, the
executive board assumes the
responsibilities that would otherwise have been those of the board
of directors.
3.3.1 Registration of the foreign
company
When registered with the Danish
Business Authority as a taxable
entity, the company receives a
registration number (CVR No.).
E.g., , a CVR No. is a requirement
for obtaining a mineral licence.
There is no residency requirement
for directors nor managers under
Greenlandic corporate law.
It does not have to be owned or
leased premises by the company –
the requirement may also be
fulfilled by a c/o address. Nuna

3.3 Registration of a taxable
entity (permanent establishment)
A foreign company may do
business in Greenland by simply
being registered as a taxable entity
(permanent establishment). By this
model, no separate entity is
established There is no requirement
to appoint a local manager. The
only requirement is that the foreign
company must have a registered
business address in Greenland, cf.
below.
