Management and Oversight
As publically expressed on Mercuria’s website;
as one of the world’s largest commodity trading
companies, we are proud to act as a responsible
corporate citizen in our business activities around
the world. Mercuria’s Code-of-Conduct sets out
the principles and core values, as well as the
ethical standards we hold for ourselves and our
partners. As expressed within Mercuria’s Codeof-Conduct, our core Business Principles are that:
1
WE COMPLY WITH ALL APPLICABLE
LAWS, RULES AND REGULATIONS.
2
WE ENSURE ALL OF OUR RECORDS ARE
ACCURATE AND REFLECTIVE OF MERCURIA’S FINANCIAL POSITION.
3
WE CONDUCT ALL OF OUR BUSINESS
WITH INTEGRITY.
4
WE TREAT ALL OF OUR EMPLOYEES
WITH RESPECT.
5
WE ARE COMMITTED TO CONDUCTING
OUR BUSINESS IN A RESPONSIBLE AND
ETHICAL MANNER.
6
WE PROTECT THE REPUTATION OF MERCURIA AT ALL TIMES.
As we strive to live up to these principles, Mercuria has a clear framework in place for the manner
in which it conducts its business. This includes
ongoing training for all employees consistent with
their roles in the organization; extensive vetting of
counterparties prior to engaging in any business;
and affirmative sharing of our Code-of-Conduct
to inform any joint ventures of Mercuria’s expectations and values.
Coupled with our framework structure, Mercuria
provides extensive training and communications
to its employees to help ensure they are familiar
with the company’s expectations and with relevant rules and regulations which are constantly
changing. This spans a wide range of efforts including training sessions for new joiners to Mercuria, annual refresher training session for all front
office and support staff, and regular compliance
newsletters which are distributed electronically to
all employees throughout our organization.
As with any program, Mercuria continues to review, self-critique and look for areas of improvement to further assure its programs are effective,
robust and appropriately address challenges as
they present themselves.
COMPLIANCE AND BUSINESS ETHICS
COMMITTEE
To assist Mercuria’s Board of Directors with its
oversight responsibilities with respect to Compliance, Mercuria has established the Compliance
and Business Ethics Committee (CBEC Committee). The CBEC is comprised of a global group
of senior, cross-functional employees who meet
quarterly to review in-depth Mercuria’s business
activities with respect to Compliance and Ethics,
and to provide ongoing reviews of the Company’s Compliance and Ethics programs, policies
and procedures. The reviews the committee
conducts helps enhance senior management’s
oversight of the Company’s business activities to
ensure that all of its business activities are both
in compliance with international laws and regulations and conducted with integrity.
