a sanctioned person or territory without having obtained a license or
authorization from the relevant governmental authority responsible for
enforcing any applicable Global Trade Laws and Regulations. If Buyer
breaches any of the above [or if, in Seller’s reasonable opinion, such
breach is likely to occur], the Parties agree that Seller shall not be liable
to Buyer or any third party for any subsequent breach by Seller under
this Agreement and that Buyer shall indemnify and hold Seller harmless
from any claims or losses related to such breach.
LAW AND ARBITRATION
This Agreement is governed and construed in accordance with Portuguese law. The application of the United Nations Convention on Contracts for the International Sale of Goods shall be excluded. All disputes arising out of or in connection with this Agreement shall be finally
settled through arbitration, in accordance with the Rules of Arbitration
of the Commercial Arbitration Centre of the Portuguese Chamber of
Commerce and Industry – Commercial Arbitration Centre by one or
more arbitrators appointed in accordance with said Rules. The place
of arbitration shall be in Porto, Portugal, and Portuguese shall be the
language of the proceedings.
