3 MEMBERSHIP – ANNUAL SUBSCRIPTION
3.1 Any Club allocated for membership of the Company shall submit to the Company a fully completed
Membership applica琀椀on form and the applica琀椀on fee and a non-refundable ground inspec琀椀on fee.
3.2 Clubs which have quali昀椀ed for membership of the Company must con昀椀rm their acceptance of membership
on the appropriate Compe琀椀琀椀on form to be received by the Company at least 7 days prior to the next
Annual General Mee琀椀ng of the Company accompanied where appropriate by the membership fee.
The annual subscrip琀椀on shall be paid by each Club to the Company no later than 7 days before the Annual
General Mee琀椀ng of the Company in each year.
4. POWER OF THE BOARD
4.1 The Board shall have power to deal with all ma琀琀ers of management of the Compe琀椀琀椀on covered by the
Rules. The Board shall conduct the business of the Compe琀椀琀椀on and shall meet as o昀琀en as is necessary for
this purpose.
The Board may appoint such commi琀琀ees as it deems appropriate which shall be fully empowered to act
on the Board’s behalf subject to ra琀椀昀椀ca琀椀on by the Board. The Board shall have power to deal only with
ma琀琀ers within the Compe琀椀琀椀on and not for any ma琀琀ers of misconduct that are under the jurisdic琀椀on of
the Football Associa琀椀on or a昀케liated Associa琀椀on.
4.2 Save where speci昀椀cally provided otherwise in these Rules, the Board shall have power to apply, act
upon and enforce these Rules and shall have jurisdic琀椀on over all ma琀琀ers a昀昀ec琀椀ng the Company or the
Compe琀椀琀椀on including any not provided for in these Rules. The Board shall also have the power to issue
an order or instruc琀椀on, by way of a Board Direc琀椀ve, in the best interest of the Compe琀椀琀椀on, on any ma琀琀er
not provided for in these Rules, with which Clubs must comply or be subject to sanc琀椀on under Rule 4.6,
save where any such Direc琀椀ve is inconsistent with a Rule or Regula琀椀on of The FA, in which event the
Direc琀椀ve will not create a binding obliga琀椀on on Clubs.
4.3 All decisions of the Board shall be binding, subject to a right of appeal to The FA pursuant to Rule 16.
Decisions of the Board must be no琀椀昀椀ed, in wri琀椀ng, to all concerned within fourteen days of the making of
such decision.
Upon becoming aware of any breaches of these Rules the Board shall write to the en琀椀ty suspected of a
breach formally charging the party giving at least 7 days’ no琀椀ce of the 琀椀me, date and venue of the mee琀椀ng
at which the charge shall be considered.
The party charged will respond in wri琀椀ng to the Board within 7 days sta琀椀ng whether or not the charge is
admi琀琀ed and in default the Compe琀椀琀椀on will deal with the case on the evidence it has at the 琀椀me. If the
charge is disputed or if the party admi琀�ng the charge wishes to present a plea in mi琀椀ga琀椀on, it shall have
the right to a personal hearing. The party charged also has the right to waive the 7 day requirement and
allow the charge to be considered in less than 7 days a昀琀er the party has been charged.
If the party charged disputes the charge or wishes to have a personal hearing to present a plea in
mi琀椀ga琀椀on then it shall submit its case in wri琀椀ng to be received by the Compe琀椀琀椀on Secretary at least 7
days prior to the date of the mee琀椀ng set to consider the charge and in default the Board will be at liberty
to proceed to hear the charge without the bene昀椀t of wri琀琀en submissions from the party charged
4.4 Where the Rules provide for the imposi琀椀on of a 昀椀nancial penalty under the Fines Tari昀昀 then the No琀椀ce of
Charge given by the Board under Rule 4.3 above shall refer to the penalty provided for in the Fines Tari昀昀.
If the Rule provides that the penalty for such a breach is in the discre琀椀on of the Board then the no琀椀ce
shall also state as such. If the penalty set by Rules is not a 昀椀nancial penalty then such penalty must s琀椀ll be
referred to in the No琀椀ce of Charge.
All breaches of the Laws of the Game Rules and Regula琀椀ons of the Football Associa琀椀on shall be dealt
with in accordance with FA Rules by the appropriate Associa琀椀on prior to any ac琀椀on by the Compe琀椀琀椀on in
accordance with FA Regula琀椀ons.
4.5 All 昀椀nes and charges imposed by the Board shall be received by the Company within twenty-eight days
of the date of no琀椀昀椀ca琀椀on of imposi琀椀on (unless otherwise ordered). Any Club or person breaking this Rule
shall be liable to such penal琀椀es as the Board may impose.
4.6 If a Club fails to comply with a Board Direc琀椀ve within fourteen days of no琀椀昀椀ca琀椀on of such order or
instruc琀椀on, or within fourteen days of an opera琀椀ve date speci昀椀ed in that order or instruc琀椀on, it shall not
be allowed to play or take part in the business of the Company un琀椀l the expiry of 7 days from the day the
order or instruc琀椀on is complied with.
