30. INDEMNITY
Subject to the provisions of the Act but without prejudice to any indemnity to which a Commi琀琀ee Member
may otherwise be en琀椀tled, every Commi琀琀ee Member or auditor of the Company shall be indemni昀椀ed out
of the assets of the Company against all liability incurred by him in defending any proceedings, whether civil
or criminal, in which judgement is given in his favour or in which he is acqui琀琀ed or in connec琀椀on with any
applica琀椀on in which relief is granted to him by the court from liability for negligence, default, breach of duty
or breach of trust in rela琀椀on to the a昀昀airs of the Company.
31. COMPETITION MEMBERS OF OTHER BODIES
The Company may by ordinary resolu琀椀on passed at the annual general mee琀椀ng or at an extraordinary
general mee琀椀ng become a member of any inter-compe琀椀琀椀on board or combina琀椀on of compe琀椀琀椀ons in the
United Kingdom or enter into any arrangement or agreement with any compe琀椀琀椀on or combina琀椀on of compe琀椀琀椀ons and be subject to the rules and bye-laws of such boards or combina琀椀ons and be bound by such
agreements and, in like manner, may alter or terminate such membership or agreement.
