be valid. Any objec琀椀on in due 琀椀me shall be referred to the chairman whose decision shall be 昀椀nal and
conclusive.
14. RESOLUTIONS OF THE MEMBERS IN WRITING
A resolu琀椀on in wri琀椀ng executed by or on behalf of each member who would have been en琀椀tled to vote
upon it if it had been proposed at a general mee琀椀ng at which he was present in person or by a duly
authorised representa琀椀ve shall be as e昀昀ectual as if it had been passed at a general mee琀椀ng duly convened
and held and may consist of several instruments in the like form each executed by or on behalf of one or
more members but in order to be e昀昀ec琀椀ve a resolu琀椀on in wri琀椀ng requires the approval of the relevant
percentage vote of members as if it had been passed at a general mee琀椀ng at which he was present in
person or by a duly authorised representa琀椀ve.
15. THE MANAGEMENT COMMITTEE
The Management Commi琀琀ee shall consist of the Chairman, Vice Chairman, Company Secretary, League
General Manager, Designated League O昀케cer and Treasurer and up to 11 Club Representa琀椀ves (which
may include the Chairman, Vice Chairman, Company Secretary and Treasurer) and up to 2 non-a昀케liated
members co-opted by the commi琀琀ee with at least 5 club representa琀椀ves required to be present in person
to form a quorum. The League General Manager, Designated League O昀케cer and the two non a昀케liated
members shall not be Directors of the Company unless holding the posi琀椀on of Chairman and shall not
have a vote unless holding the posi琀椀on of Chairman The Company Secretary and the Treasurer, if not
elected members shall not be Directors of the Company and shall not have a vote.
16. POWERS OF MANAGEMENT COMMITTEE
16.1 Subject to the provisions of the Act, the Memorandum of Associa琀椀on and the Ar琀椀cles, the business of
the Company shall be managed by the Management Commi琀琀ee who may exercise all the powers of the
Company and shall enforce the Rules. The Management Commi琀琀ee shall meet as o昀琀en as is necessary
to transact the business of the Company and shall except as expressly provided herein, have jurisdic琀椀on
over all ma琀琀ers a昀昀ec琀椀ng the Company including any not provided for in the Rules. No altera琀椀on of the
memorandum of associa琀椀on, the Ar琀椀cles or the Rules shall invalidate any prior act of the Management
Commi琀琀ee which would have been valid if that altera琀椀on had not been made. The powers given by this
regula琀椀on shall not be limited by any special power given to the Management Commi琀琀ee by the Ar琀椀cles
and a mee琀椀ng of the Management Commi琀琀ee at which a quorum is present may exercise all powers
exercisable by the Management Commi琀琀ee.
16.2 The Management Commi琀琀ee shall make and issue decisions in accordance with the Rules as such Rules
may be amended or replaced in accordance with Ar琀椀cle 26.
16.3 The Management Commi琀琀ee may, by power of a琀琀orney or otherwise, appoint any person to be the agent
of the Company for such purposes and on such condi琀椀ons as it determines, including authority for the
agent to delegate all or any of his powers.
16.4 The Management Commi琀琀ee may from 琀椀me to 琀椀me appoint up to two non-a昀케liated members to assist
the commi琀琀ee subject to the restric琀椀ons imposed on them under Ar琀椀cle 15. A non-a昀케liated member
may hold the posi琀椀on if elected of Chairman or Vice Chairman but the restric琀椀ons under Ar琀椀cle 15 would
remain and that person would not have a vote and in the event of a cas琀椀ng vote being required in the
role of Chairman or Vice Chairman that right to vote could not be exercised by the non-a昀케liated member.
17. DELEGATION OF MANAGEMENT COMMITTEE’S POWERS
17.1 The Management Commi琀琀ee may appoint Sub-Commi琀琀ees, to include the Chairman, League General
Manager, and Designated League O昀케cer as appropriate, and may delegate any of its powers to any
Sub-Commi琀琀ee as it may deem necessary. The Management Commi琀琀ee may also delegate such powers
to the League General Manager or any other o昀케cer. Any sub commi琀琀ee determining an issue involving a
member Club to comprise at least 3 Club representa琀椀ves who are not con昀氀icted.
17.2 Any such delega琀椀on may be made subject to any condi琀椀ons the Management Commi琀琀ee may impose,
and either collaterally with or to the exclusion of the powers of the Management Commi琀琀ee and may be
revoked or altered at any 琀椀me.
17.3 Subject to any such condi琀椀ons, the proceedings of a Sub-Commi琀琀ee shall be governed by the Ar琀椀cles
regula琀椀ng the proceedings of the Management Commi琀琀ee so far as they are capable of applying.
17.4 The decisions or recommenda琀椀ons of all such Sub-Commi琀琀ees shall be reported to the Management
Commi琀琀ee, and shall be subject to ra琀椀昀椀ca琀椀on by the Management Commi琀琀ee.
