THE NORTHERN PREMIER FOOTBALL LEAGUE LIMITED
1. PRELIMINARY
The regula琀椀ons contained in Table C (as prescribed by Sec琀椀on 8 of the Companies Act l985) in force at the
date of adop琀椀on of these Ar琀椀cles shall not apply to the Company.
2. INTERPRETATION
2.1 In these regula琀椀ons:
“Act”
means the Companies Act 1985 (including any statutory modi昀椀ca琀椀on or re-enactment thereof for the 琀椀me
being in force);
“ar琀椀cles”
means the ar琀椀cles of the Company
“clear days”
in rela琀椀on to the period of a no琀椀ce, means that period excluding the day when the no琀椀ce is given or deemed
to be given and the day for which it is given or on which it is to take e昀昀ect;
“Club”
means any football club which is for the 琀椀me being admi琀琀ed to Compe琀椀琀椀on under the Rules
“Commercial Agreement”
Shall mean any agreement or agreements with the Pools Promoters Associa琀椀on where the 昀椀xtures to
be played by the Clubs may be u琀椀lised for commercial exploita琀椀on by the Pools Promoters Associa琀椀on
for the purpose of the Football Clubs and any other agreement or agreements rela琀椀ng to adver琀椀sing,
merchandising and general promo琀椀on of each of the Clubs entered into by the Company, or the Company
(but without prejudice to each Member Club’s own separate agreements) which have the object of
promo琀椀ng the welfare and general commercial interest and increasing the 昀椀nancial resources of each of the
Clubs and the Company directly or indirectly.
“Commi琀琀ee Members”
means the O昀케cers of the Compe琀椀琀椀on and such members of the Management Commi琀琀ee for the 琀椀me
being appointed in accordance with Ar琀椀cle l9. The chairman and elected members appointed in accordance
with Ar琀椀cle 19 shall be the directors of the Company for the purposes of the Act;
“the Company”
means The Northern Premier Football League Limited;
“Compe琀椀琀椀on”
means the football compe琀椀琀椀on to be managed by the Company under the name “The Northern Premier
Football League” or such other name as bears the name of the compe琀椀琀椀ons sponsors name from 琀椀me to
琀椀me and consis琀椀ng of the football clubs who are from 琀椀me to 琀椀me admi琀琀ed to the Compe琀椀琀椀on under the
rules;
“Connected Person”
Means a person connected with the Commi琀琀ee Member pursuant to Sec琀椀on 252 of the Companies Act
2006.
“Fit and Proper Declara琀椀on”
means the declara琀椀on to be made by each director of an incorporated member club in the form determined
from 琀椀me to 琀椀me by the Football Associa琀椀on;
